General Terms and Conditions of Sale (GTC)

Preamble
TSO Marketing Co.,Ltd offers the creation and management of free or paid profiles for individuals or legal entities whose activities match the purpose of its online platforms.
Creating a profile or subscribing to a service implies full and unconditional acceptance of these General Terms and Conditions of Sale (GTC), without restriction or reservation. 

1. Free Profile 
1.1. The free profile includes: company name, address, phone numbers, Google Maps geolocation, opening hours, service selection, review management, short description, and call-to-action button.
1.2. TSO Marketing Co.,Ltd reserves the right to refuse, suspend, or delete any profile in case of non-compliance with these GTC or for any other legitimate reason.
1.3. Each profile is linked to a password-protected client account.
1.4. Access to a free profile is reserved for companies registered in the Thailand Commercial Register
1.5. TSO Marketing Co.,Ltd reserves the right to modify, limit, or remove the features of the free profile at any time. 

2. Subscriptions 
2.1. Duration and Renewal
The subscription is concluded for the duration indicated on the invoice, which constitutes the contract.
In the absence of written termination at least 30 days before expiry, it is automatically renewed for an additional year at the applicable rates.
Renewal implies an obligation to pay for the new period. 
2.2. Standard Pricing
Professional Profile: THB 12000.- / year
Discounts may apply. 
2.3.Termination and Refund
Subscriptions terminated before their expiry are non-refundable.
In case of termination by ​TSO Marketing Co.,Ltd, a pro-rata refund may be granted. 
2.4. Publication
Any paid listing is published within 72 business hours after receipt of payment. 
2.5.Acceptance
The contract is deemed accepted upon written or verbal confirmation, or upon payment of the invoice. 
2.6.Payment
Invoices are payable within 30 days.
In case of late payment:
- reminder fees may be charged
- late interest may be applied
- TSO Marketing Co.,Ltd reserves the right to suspend the profile until payment is settled
   
3. Professional Services 
3.1. Access to advanced tools and statistics is reserved for paying subscribers.
3.2. Statistics are provided for informational purposes only and may vary.
3.3. The website is accessible 24/7, except for technical or maintenance interruptions. 

4. Liability 
TSO Marketing Co.,Ltd makes every effort to ensure proper service operation but cannot be held liable for: 
- temporary interruptions
- loss or alteration of data
- errors or omissions
- indirect, consequential, or intangible damages

TSO Marketing Co.,Ltd does not guarantee any commercial results (leads, clients, revenue). 

The subscriber is solely responsible for the content of their profile and shall indemnify ​​TSO Marketing Co.,Ltd against any third-party claims.
TSO Marketing Co.,Ltd reserves the right to remove any inaccurate, misleading, or unlawful content.
TSO Marketing Co.,Ltd cannot be held responsible for integrated third-party services (including Google Maps). 

5. Intellectual Property 
All elements of the website (texts, graphics, databases, logos, etc.) are the exclusive property of ​TSO Marketing Co.,Ltd.
Any unauthorized reproduction or use is strictly prohibited. 

6. Data Protection 
Personal data is processed in accordance with the Swiss Data Protection Act (FADP) and the GDPR.

Some features may involve data transfers to third countries. 

7. Newsletters 
By creating a profile or subscribing to a service, the subscriber agrees to receive communications and newsletters from ​TSO Marketing Co.,Ltd for commercial purposes.
They may unsubscribe at any time via the link included in the emails. 

8. Force Majeure
TSO Marketing Co.,Ltd shall not be held liable in cases of force majeure (natural disaster, strike, network failure, war, etc.). 

9. Governing Law and Jurisdiction 
These GTC are governed by Thailand law.
Any dispute shall fall under the exclusive jurisdiction of the courts of  HUA HIN Prachua Kiri Khan (registered office of ​TSO Marketing Co.,Ltd). 

10. Pricing 
Prices are stated excluding VAT.
TSO Marketing Co.,Ltd may refuse any new subscription in case of unpaid invoices. 

11. Modification of the GTC 
TSO Marketing Co.,Ltd reserves the right to modify these GTC at any time.
Changes take effect upon publication on the website.
In case of substantial changes, subscribers will be informed by email.
Continued use of the services implies acceptance of the updated GTC.
